Terms and Conditions of Service
1. Definitions and Interpretation
1.1 Definitions
“Business Day” means any day other than a Saturday, Sunday or public holiday in England when banks in London are open for business.
“Commencement Date” means the date on which OBV Development Group Ltd issues written confirmation accepting an Order.
“Conditions” means these Terms and Conditions as amended from time to time.
“Contract” means the agreement between OBV Development Group Ltd and the Customer comprising the Confirmation and these Conditions.
“Customer” means the organisation purchasing Services from OBV Development Group Ltd.
“Patient” means the individual for whom Services are requested.
“Services” means Secure Transport Services and/or Complex Care Staffing supplied by OBV Development Group Ltd.
“Secure Transport Services” means non-emergency secure patient transport delivered by trained personnel.
“Staff” means employees, contractors or agents engaged by OBV Development Group Ltd.
“Location” means any site at which Services are delivered.
“Fees” means charges payable for the Services.
“Data Protection Legislation” means UK GDPR, the Data Protection Act 2018 and all applicable UK privacy legislation.
2. Basis of Contract
2.1 An Order constitutes an offer by the Customer to purchase Services.
2.2 A Contract shall only arise upon written confirmation issued by OBV Development Group Ltd.
2.3 These Conditions apply to the exclusion of all other terms unless expressly agreed in writing.
3. Patient Referral and Fitness for Transport
3.1 The Customer shall provide complete, accurate and up-to-date information relating to:

clinical presentation,
-
behavioural risks,
-
safeguarding risks,
-
mobility needs,
-
medical requirements,
-
known violence or absconding risks.
3.2 The Customer warrants that the Patient is medically and behaviourally fit for transport via non-emergency secure transport services at the time of referral.
3.3 OBV Development Group Ltd reserves the right to undertake independent dynamic risk assessment prior to departure, upon arrival and throughout delivery of Services.
3.4 Where risk materially differs from referral information, OBV Development Group Ltd may:

suspend Services;
-
withdraw Staff;
-
request additional resources (eg dispatching a nurse practitioner); or
-
renegotiate Fees.
3.5 Where risk materially differs from the referral information, OBV Development Group will clearly communicate any additional recommendations to the customer.
4. Nature and Scope of Services
4.1 OBV Development Group Ltd shall provide Services using reasonable skill, care and diligence consistent with industry standards and regulatory expectations.
4.2 Services provided are transport and support services only.
4.3 OBV Development Group Ltd does not assume responsibility for:

clinical decision-making,
-
diagnosis,
-
treatment planning,
-
medical monitoring,
-
ongoing healthcare management.
Clinical responsibility remains with the referring organisation at all times.
4.4 Responsibility for the Patient transfers to OBV Development Group Ltd only upon formal signed handover and ends upon signed receipt at destination.
4.5 OBV Development Group Ltd shall allocate appropriately trained Staff at its sole discretion.
4.6 Staff shall be vetted and trained in accordance with internal governance and safeguarding procedures.
5. Safety, Behavioural Management and Emergencies
5.1 Staff may implement proportionate and lawful safety interventions where necessary to protect:
-
the Patient,
-
Staff,
-
or members of the public.
5.2 All interventions shall follow principles of least restrictive practice and recognised professional standards.
5.3 In the event of medical deterioration, behavioural escalation or emergency situation, Staff may contact emergency services without prior authorisation.
5.4 Responsibility for clinical management transfers to emergency services or receiving healthcare providers once engaged.
5.5 OBV Development Group Ltd reserves the right to refuse, suspend or discontinue transport where continuation presents unacceptable risk.
6. Customer Obligations
The Customer shall:
-
cooperate fully with Staff;
-
provide safe access to Locations;
-
disclose all known risks;
-
maintain regulatory registration where applicable;
-
ensure lawful authority exists for transport;
-
remain clinically responsible for the Patient.
The Customer retains responsibility for all healthcare needs throughout transport.
7. Safeguarding
7.1 OBV Development Group Ltd operates in accordance with UK safeguarding legislation.
7.2 Staff may share information or make safeguarding referrals where concerns arise.
7.3 Such disclosure shall not constitute breach of confidentiality.
8. Operational Delivery and Delays
8.1 Timeframes are estimates only unless expressly agreed.
8.2 OBV Development Group Ltd shall not be liable for delays caused by:
-
traffic,
-
environmental conditions,
-
hospital delays,
-
Patient presentation,
-
emergency incidents,
-
circumstances beyond reasonable control.
8.3 Waiting time exceeding agreed handover periods may incur additional charges.
9. Fees and Payment
9.1 Fees shall be as specified within the Confirmation.
9.2 Invoices shall be issued weekly in arrears.
9.3 Payment terms: 30 days from invoice date.
9.4 Late payments shall accrue interest at 8% above Bank of England base rate.
9.5 Payments shall be made without deduction or set-off.
Cancellation
-
More than 1 hour notice → no charge
-
Less than 1 hour → £100 charge
-
After deployment → full charge payable
10. Staff Status
All Staff remain employees or contractors of OBV Development Group Ltd and shall not be deemed employees of the Customer.
11. Insurance
OBV Development Group Ltd maintains appropriate insurance including:
-
Public Liability Insurance
-
Employers’ Liability Insurance
-
Professional Indemnity Insurance
cover appropriate to Services delivered.
12. Confidentiality
Both parties shall maintain confidentiality except where disclosure is required by law, safeguarding duty, or regulatory obligation.
13. Data Protection
13.1 Each party shall comply with Data Protection Legislation.
13.2 Information may be shared where necessary for:
-
delivery of care,
-
safeguarding,
-
regulatory compliance,
-
lawful investigation.
14. Incident Reporting and Cooperation
OBV Development Group Ltd maintains internal incident reporting procedures and shall reasonably cooperate with investigations conducted by:
-
CQC,
-
safeguarding authorities,
-
commissioners,
-
statutory bodies.
15. Limitation of Liability
15.1 Nothing limits liability for death or personal injury caused by negligence or fraud.
15.2 Subject to this, total liability shall not exceed Fees paid within the preceding 12 months.
16. Force Majeure
Neither party shall be liable for failure caused by events beyond reasonable control including mechanical failure despite appropriate maintenance.
17. Termination
OBV Development Group Ltd may terminate immediately where:
-
payment is overdue;
-
unsafe working conditions arise;
-
regulatory compliance concerns exist;
-
material misinformation is provided;
-
reputational or safeguarding risk occurs.
18. Consequences of Termination
Termination shall not affect accrued rights or surviving clauses.
19. Third Party Rights
No third party may enforce this Contract.
20. Governing Law
This Contract is governed by the laws of England and Wales.
